(b) Technical assistance. MTP provides technical support to reseller staff "as needed." MTP is committed to providing 99.9% uptime outside of scheduled maintenance and the obligation to correct reported errors in a timely manner. MTP has no obligation to provide technical support directly to an End User unless MTP and Reseller agree in advance in writing that Reseller will provide such support to its Users.6. fees; prices; Credit notes and payment terms. (a) Prices. Reseller will pay MTP the fees set out in the attached List A for subscriptions and professional services provided by MTP. Unless otherwise specified in Appendix A, MTP will charge these fees to reseller on a monthly basis at MTP`s then customary rates. (b) Terms of Payment. All prices are quoted in U.S. dollars and do not include sales, use, VAT or import taxes, duties or similar taxes that may be levied by any jurisdiction. Reseller must pay MTP within thirty (30) days of receipt of an invoice.
(c) non-payment measures. In the event that Reseller fails to make payment to an End User (including due to Reseller`s non-payment by End User or Distribution Partner), MTP may suspend End User`s access to the Service and any other Service provided by MTP to such End User, in addition to any other remedies available to it and upon prior written notice to End User. If MTP disables access to the Service in accordance with this Section, Reseller or End User may restore such access by paying all amounts due to MTP, including attorneys` fees or other fees related to the collection of unpaid amounts. For the avoidance of doubt, any action taken by MTP under this Section 7(c) will not release Reseller from its obligations under this Agreement, and Reseller will be responsible for all collection costs from End Users or Distributors, even if the Service is not restored to the relevant End User. (d) taxes. All taxes, sources, duties, fees and other government charges of any kind (including sales and use taxes, but excluding taxes based on MTP`s gross revenues or net income) levied by or under the supervision of a government or political subdivision of MTP on amounts that MTP charges Reseller under this Agreement, will be borne by reseller and shall not be deemed to be part of any deduction or set-off of fees charged to Reseller under this Agreement.8. .
